SPMGenerator.com provides a web-based tool ("Spreadsheet Program Maker" or "SPM") that allows users to upload spreadsheet files and convert them into functional software outputs, including WordPress plugins, desktop applications, and other formats.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business purposes. You may not:

• Reverse engineer, decompile, or disassemble the Service
• Reproduce, redistribute, or sublicense the Service itself
• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems

Output files (plugins, applications, etc.) generated by the Service are subject to the license type you purchased at checkout (Personal, Commercial, Redistribution, or White-label).

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and not share it with others
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

5. Acceptable Use

You agree not to use the Service to:

• Upload files containing malware, viruses, or malicious code
• Generate software intended for illegal, harmful, or deceptive purposes
• Overwhelm or disrupt the Service through automated or excessive requests
• Violate any applicable local, state, national, or international law

6. Intellectual Property

Your Data: You retain all ownership rights to the spreadsheet files and data you upload. We do not claim ownership of your input data or the output files generated from it.

Our Software: The Service, including its code, design, algorithms, and documentation, is the intellectual property of SPMGenerator and is protected by copyright and other intellectual property laws.

7. Payments and Refunds

Payments are processed securely through Stripe. All prices are listed in USD unless otherwise stated. By completing a purchase, you authorize us to charge the payment method you provide.

Due to the digital nature of the products, refunds are evaluated on a case-by-case basis. If you experience a technical issue that prevents you from using your purchased output, please contact us within 14 days of purchase.

8. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

9. Disclaimer of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SPMGENERATOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SPMGenerator is not responsible for:

• Data loss resulting from user-uploaded spreadsheets or generated outputs
• Errors, inaccuracies, or unexpected behavior in calculations or formula conversions
• Third-party service outages (Stripe, hosting providers, etc.)
• Any damages resulting from misuse of exported data or generated software
• Compatibility issues with third-party platforms (WordPress, web hosts, etc.)

10. Limitation of Liability

IN NO EVENT SHALL SPMGENERATOR, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
